1. Acceptance and Definitions

1.1 Acceptance of Terms

By creating an account, accessing our platform, or using any of our services, you acknowledge that you have read, understood, and agree to be legally bound by this Agreement, whether as a registered user or visitor. If you are entering into this Agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these terms.

1.2 Key Definitions

  • "Services" means VoicePrompts.ai's AI-powered platform for creating professional phone system audio messages, including script generation, voice synthesis, music integration, and related features
  • "AI Features" means our artificial intelligence capabilities including OpenAI-powered script generation and Microsoft Azure neural text-to-speech technology
  • "Generated Content" means audio files, scripts, or other content created using our Services
  • "Background Music" means the royalty-free music tracks available through our platform
  • "Subscription Plan" means your selected service tier (Standard, Enterprise, or other plans we may offer)
  • "Customer Data" means any data, content, or information you provide to or generate through our Services

2. Service Description and Availability

2.1 Platform Capabilities

VoicePrompts.ai provides a software-as-a-service platform that enables users to:

  • Generate professional scripts using AI technology
  • Create voice recordings using 850+ premium AI voices
  • Add background music from our licensed library
  • Preview and download audio files in multiple formats
  • Manage projects through our dashboard interface

2.2 Technical Requirements

Our Services require an internet connection and modern web browser. Generated audio files are provided in industry-standard formats including MP3, WAV (PCM 16-bit and μ-law 8-bit), and AMR for VoIP compatibility.

3. AI Technology and Voice Generation

3.1 AI-Generated Content Disclosure

IMPORTANT NOTICE:

All voices generated through our platform are created using artificial intelligence technology and are not recordings of human voice actors. By using our Services, you acknowledge that:

  • All voice content is synthetically generated.
  • Generated voices do not represent real individuals unless explicitly stated.
  • You may not intentionally create voices that impersonate specific individuals without their express written consent.

3.2 AI Voice Usage Restrictions

You may not use our AI voice technology to:

  • Create content that violates Illinois's Digital Voice and Likeness Protection Act or similar legislation
  • Impersonate specific individuals for fraudulent, deceptive, or harmful purposes
  • Generate content that could mislead recipients about the synthetic nature of the voice
  • Create voices for illegal activities, harassment, or malicious purposes

3.3 Training Data and Model Improvement

We do not use your inputs, generated content, or Customer Data to train or improve our AI models for the benefit of other customers. Any data processing for service improvement is conducted solely for your benefit and in accordance with our Privacy Policy.

4. Music Licensing and Intellectual Property Rights

4.1 Background Music License

CRITICAL LICENSE RESTRICTION:

Background music included in our Services is licensed exclusively for use within active paid subscriptions. You are granted a non-exclusive, non-transferable license to use background music ONLY if you maintain an active paid subscription to our Services.

4.2 Music Usage Compliance

  • Authorized Use: Music may only be used in recordings created through our platform for legitimate business communication purposes
  • Prohibited Use: You may NOT extract, reproduce, distribute, or use background music separately from complete voice messages created through our Services
  • Territory and Duration: Music license is worldwide but terminates immediately upon subscription cancellation or expiration
  • Commercial Rights: Music is licensed for commercial use only within the scope of business phone communications

4.3 Copyright Infringement Consequences

Unauthorized use of our licensed music, including use after subscription termination, constitutes copyright infringement and may result in:

  • Immediate account suspension or termination
  • Legal action seeking damages up to $150,000 per work under U.S. copyright law
  • Removal of all access to previously generated content containing music
  • Liability for any third-party claims or licensing fees

4.4 Intellectual Property Ownership

  • VoicePrompts.ai retains all rights, title, and interest in our platform, AI models, voice library, and music collection
  • You retain ownership of original scripts and content you create, subject to the license restrictions herein
  • Generated audio files may be used for their intended business communication purposes but do not convey ownership of underlying AI voices or music

5. Subscription Terms and Billing

5.1 Subscription Plans

Access to Services requires an active paid subscription. Plans are offered with monthly or annual billing (20% discount):

Starter Plan

  • $29.95/month (monthly billing)
  • $35.95/month ($431.40/year with annual billing)
  • Includes: 3 downloads/month, up to 25 Auto Attendant/IVR prompts, 1 phone-system format, music license, unlimited script drafts.

Pro Plan

  • $49.95/month (monthly billing)
  • $59.95/month ($719.40/year with annual billing)
  • Includes: up to 10 downloads/month, up to 100 Auto Attendant/IVR prompts, 1 phone-system format, music license, unlimited script drafts.

Enterprise Plan (25+ locations)

  • $19.95/location/month (monthly billing)
  • $24.95/location/month ($299.40/location/year with annual billing)
  • Includes: same features as Starter, 3 downloads per month per location, dedicated account management, priority support.

5.2 Billing & Renewal

  • Subscriptions auto-renew monthly or annually depending on the plan you choose.
  • Fees are charged in advance and are non-refundable.
  • We may update pricing with 30 days' notice.

5.3 Usage Limits & Overages

  • Download and prompt limits reset each billing cycle.
  • Usage is subject to fair use. Excessive or abusive activity may result in suspension or additional charges.

6. Data Protection and Privacy

6.1 Customer Data Ownership and Processing

  • You retain ownership of all Customer Data provided to our Services
  • We process Customer Data solely to provide Services as described in our Privacy Policy
  • We implement industry-standard security measures including encryption in transit and at rest
  • Customer Data is stored on secure cloud infrastructure with appropriate access controls

6.2 Data Retention and Deletion

  • Generated audio files are retained for 90 days unless actively saved to your account
  • Upon subscription termination, Customer Data will be deleted within 30 days unless legal retention is required
  • You may request data deletion at any time through your account settings

6.3 International Data Transfers

Customer Data may be processed in the United States and other countries where our service providers operate. We maintain appropriate safeguards for international transfers in compliance with applicable data protection laws.

6.4 Data Breach Notification

In the unlikely event of a security incident affecting your data, we will notify you within 72 hours and provide details about the incident and remediation steps.

7. User Conduct and Content Policies

7.1 Acceptable Use

You may use our Services only for legitimate business communication purposes. Acceptable uses include:

  • On-hold messages for business phone systems
  • Auto-attendant greetings and prompts
  • Voicemail messages

7.2 Prohibited Content and Activities

You may not create content that:

  • Violates applicable laws or regulations
  • Infringes intellectual property rights of third parties
  • Contains false, misleading, or deceptive information
  • Includes hate speech, harassment, or threatening language
  • Promotes illegal activities or adult content
  • Violates publicity rights or impersonates individuals without consent

7.3 Content Monitoring and Removal

We reserve the right to review, reject, or remove any content without notice. While we do not actively monitor all content, we may investigate reported violations and take appropriate action.

7.4 User Indemnification

You agree to indemnify and hold harmless VoicePrompts.ai from any claims, damages, or expenses arising from:

  • Your use of our Services in violation of this Agreement
  • Content you create using our platform
  • Your violation of applicable laws or third-party rights
  • Unauthorized use of music after subscription termination

8. Account Management and Termination

8.1 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Notify us immediately of any unauthorized access.

8.2 Termination Rights

By You: You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period.

By Us: We may suspend or terminate your account immediately for:

  • Material breach of this Agreement
  • Non-payment of fees
  • Violation of our Acceptable Use policies
  • Suspected fraudulent or illegal activity

8.3 Effect of Termination

Upon termination:

  • Your license to use background music terminates immediately
  • Access to previously generated content may be revoked
  • We will delete your Customer Data in accordance with our retention policy
  • Outstanding fees remain due and payable

9. Disclaimers and Limitation of Liability

9.1 Service Disclaimers

OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND.

WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9.2 AI Technology Limitations

AI-generated content may not always meet your expectations. We do not guarantee:

  • Perfect accuracy of generated scripts or voices
  • Compatibility with all phone systems
  • Uninterrupted service availability
  • Error-free operation

9.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • Our total liability shall not exceed the greater of $5,000 or amounts paid by you in the 12 months preceding the claim
  • We shall not be liable for indirect, incidental, consequential, special, or punitive damages
  • This includes lost profits, lost data, business interruption, or loss of business opportunities

9.4 Essential Services Disclaimer

Our Services are not designed for use in life-critical or emergency situations. Do not rely on our platform for emergency communications or safety-critical applications.

10. Compliance and Legal Requirements

10.1 Regulatory Compliance

You are responsible for ensuring your use of generated content complies with:

  • Telephone Consumer Protection Act (TCPA) requirements for AI-generated voices
  • FCC regulations regarding automated calling systems
  • State and local laws governing business communications
  • Industry-specific regulations applicable to your business

10.2 Required Disclosures

When using AI-generated voices for customer-facing communications, you may be required by law to disclose the synthetic nature of the voice. Consult legal counsel to determine your disclosure obligations.

10.3 International Use

If you use our Services outside the United States, you are responsible for compliance with local laws and regulations governing AI technology and business communications.

11. Updates and Modifications

11.1 Agreement Changes

We may update this Agreement from time to time. Material changes will be communicated with 30 days advance notice via email or platform notification. Continued use after changes take effect constitutes acceptance.

11.2 Service Updates

We continuously improve our Services and may add, modify, or discontinue features. We will provide reasonable notice for significant changes that materially affect functionality.

12. Dispute Resolution and Governing Law

12.1 Governing Law

This Agreement is governed by the laws of the State of Delaware, without regard to conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

12.2 Jurisdiction and Venue

Any disputes shall be resolved exclusively in the state or federal courts located in New Castle County, Delaware. Both parties consent to personal jurisdiction and venue in such courts.

12.3 Dispute Resolution Process

Before initiating litigation, parties agree to participate in good faith mediation through a mutually agreed mediator. If mediation fails within 60 days, disputes may proceed to binding arbitration under JAMS Commercial Arbitration Rules.

12.4 Class Action Waiver

Both parties waive any right to participate in class action lawsuits or class-wide arbitration against the other party.

13. Enterprise and Multi-Location Terms

13.1 Enterprise Portal Access

Enterprise subscribers receive access to centralized management features including:

  • Corporate script template distribution
  • Multi-location user management

13.2 Corporate Control and Compliance

Enterprise accounts may establish company-wide policies for script content, voice selection, and compliance requirements. Individual locations must comply with corporate-established guidelines.

13.3 Data Segregation

Enterprise accounts include appropriate data segregation between locations while maintaining corporate visibility for administrative purposes.

14. Miscellaneous Provisions

14.1 Entire Agreement

This Agreement, together with our Privacy Policy and any applicable order forms, constitutes the entire agreement between the parties and supersedes all prior agreements and understandings.

14.2 Severability

If any provision is found unenforceable, the remainder of this Agreement remains in full force and effect.

14.3 Force Majeure

Neither party shall be liable for delays or failures due to circumstances beyond their reasonable control, including natural disasters, government actions, or third-party service disruptions.

14.4 Assignment

You may not assign this Agreement without our written consent. We may assign this Agreement to affiliates or in connection with a merger, acquisition, or sale of assets.
